Terms of Service

1. Introduction and Agreement

These Terms and Conditions ("Terms") constitute a legally binding agreement between Quality Mark Europe ("Provider," "we," "us," "our") and the business entity or organization ("Client," "you," "your") accessing or using our anti-counterfeiting service.

By registering for an account, integrating our service, or using the platform to generate or manage serialized QR codes, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company, you represent that you have the authority to bind that entity.

2. Account Registration and Security

• Eligibility: You must be at least 18 years old and have the legal capacity to enter a contract.
• Accurate Information: You agree to provide and maintain accurate, current, and complete information during registration.
• Account Security: You are responsible for all activities that occur under your account. You must notify us immediately of any security breach.

3. Service Description

Our Service provides a software platform that enables businesses to generate, manage, and track unique, serialized QR codes for their products to combat counterfeiting and enable supply chain traceability.

• Core Function: The Service facilitates the assignment of unique serial numbers to product units via scannable QR codes.
• Client Responsibility: You are solely responsible for affixing codes, ensuring scannability, and managing your supply chain data.
• Authentication Method: The mechanism is based on unique identification; repeated scans of a single code from disparate locations serve as primary indicators of potential counterfeits.

4. Fees, Billing, and Payment Terms

• Fees and Renewal: Fees are billed in advance (monthly, quarterly, or annual) and automatically renew unless cancelled.
• Price Changes: We reserve the right to modify fees with reasonable notice before your next billing cycle.
• Taxes: All fees are exclusive of taxes and duties.

5. Data Ownership and Privacy

• Your Data: You retain all ownership rights to the data you upload or generate.
• Consumer Data: For scans performed by end consumers, you are the data controller and must provide your own privacy notice.
• Analytics: We may create anonymized, aggregated analytics to improve our services.

6. Intellectual Property Rights

The Provider owns all rights, title, and interest in and to the Service (software, APIs, dashboards). These Terms do not transfer any intellectual property rights from one party to the other.

7. Limitations of Liability

THE SERVICE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL BE LIMITED TO THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

8. Termination

• By Client: You may cancel via your dashboard at any time.
• By Provider: We may suspend or terminate access for breaches, failure to pay, or prohibited activities.

9. General Provisions

• Governing Law: These Terms are governed by the laws of Scotland, United Kingdom.
• Amendments: We reserve the right to modify these Terms and will notify you of material changes.
