1. Introduction and Agreement
These Terms and Conditions ("Terms") constitute a legally binding agreement between Quality Mark
Europe ("Provider," "we," "us," "our") and the business entity or organization ("Client," "you,"
"your") accessing or using our anti-counterfeiting service, either as a manufacturer or as a
customer / consumer authenticating your purchase.
By registering for an account, integrating our service, or using the platform to generate or manage
serialized QR codes, you agree to be bound by these Terms. If you are entering into these Terms on
behalf of a company, you represent that you have the authority to bind that entity.
2. Account Registration and Security
- Eligibility: You must be at least 18 years old and have the legal capacity to enter a contract to register an account.
- Accurate Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
- Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.
3. Service Description: Anti-Counterfeit Serialization & QR Codes
Our Service provides a software platform that enables businesses to generate, manage, and track unique, serialized QR codes for their products to combat counterfeiting and enable supply chain traceability.
- Core Function: The Service facilitates the assignment of a unique serial number to each product unit and its representation via a scannable QR code.
- Client Responsibility: You are solely responsible for affixing or printing the serialized QR codes on your products and ensuring the quality and scannability of the printed codes.
- Authentication Method: The anti-counterfeit mechanism is based on unique identification. A primary indicator of a potential counterfeit is the repeated scanning of a single unique serial code from disparate geographical locations.
4. Fees, Billing, and Payment Terms
- Fees and Renewal: You agree to pay all applicable fees for your selected plan. Fees are billed in advance and will automatically renew unless cancelled.
- Price Changes: We reserve the right to modify our fees with reasonable notice before they apply to your next billing cycle.
- Taxes: All fees are exclusive of taxes and duties. You are responsible for paying all such charges.
5. Data Ownership, Privacy, and Use
- Your Data: You retain all ownership rights to the data you upload or generate through the Service.
- Our Use of Data: We will only process your data to provide, secure, and improve the Service.
- Consumer Data: For scans performed by end consumers, you are the data controller and must provide your own privacy notice.
6. Intellectual Property Rights
The Provider owns all rights, title, and interest in and to the Service. Your use of the Service does not grant you ownership of any of our intellectual property. Conversely, these Terms do not transfer any of your intellectual property rights to the Provider.
7. Limitations of Liability and Disclaimers
- Service "As Is": THE SERVICE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND.
- No Guarantee Against Counterfeiting: WE DO NOT GUARANTEE THAT THE SERVICE WILL PREVENT ALL COUNTERFEITING OR PRODUCT DIVERSION.
- Limitation of Liability: OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT PAID IN THE SIX (6) MONTHS PRIOR TO THE EVENT.
8. Termination and Suspension
You may cancel your subscription at any time through your account dashboard. We reserve the right to suspend or terminate access for violations of these terms.
